Welcome to HealthConnect GCC. These Terms of Service govern your use of our platform and services. By accessing or using HealthConnect, you agree to be bound by these terms. Please read them carefully.

1. Acceptance of Terms

By creating an account or using HealthConnect GCC ("Platform", "Service", "we", "us", or "our"), you agree to comply with and be legally bound by these Terms of Service, whether or not you become a registered user.

If you do not agree to these terms, you must not access or use the Platform. These terms apply to all users, including buyers, suppliers, and visitors.

2. Definitions

  • "Buyer" refers to healthcare facilities, hospitals, clinics, and medical centers that purchase medical supplies through the Platform.
  • "Supplier" refers to manufacturers, distributors, and authorized dealers who sell medical supplies through the Platform.
  • "RFQ" means Request for Quotation submitted by Buyers.
  • "Quote" means a formal offer submitted by Suppliers in response to an RFQ.
  • "Transaction" refers to the complete process from RFQ submission to payment completion.

3. User Accounts

3.1 Account Registration

To use certain features of the Platform, you must register for an account. You must provide accurate, current, and complete information during registration and keep your account information updated.

3.2 Account Verification

All accounts are subject to verification. You must submit valid business licenses, certifications, and other required documentation. We reserve the right to reject or suspend any account that fails verification.

3.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

4. Services Provided

HealthConnect GCC provides a B2B marketplace platform that connects healthcare buyers with medical suppliers. Our services include:

  • RFQ creation and management tools for buyers
  • Quote submission and management tools for suppliers
  • Product catalog and search functionality
  • Order tracking and management
  • E-invoicing and payment processing
  • Communication tools between buyers and suppliers
  • Analytics and reporting features

We act as an intermediary platform and do not take ownership of products or become party to transactions between buyers and suppliers.

5. Transactions and Orders

5.1 Contract Formation

A binding contract is formed when a Buyer accepts a Supplier's quote. Both parties agree to fulfill their obligations as specified in the accepted quote, including pricing, delivery terms, and payment conditions.

5.2 Platform Role

HealthConnect facilitates transactions but is not a party to the contract between Buyers and Suppliers. We do not guarantee the quality, safety, or legality of products or the ability of Buyers to pay or Suppliers to deliver.

5.3 Dispute Resolution

While we provide tools to facilitate communication and dispute resolution, the primary responsibility for resolving transaction disputes lies with the Buyer and Supplier involved.

6. Payment Terms

6.1 Platform Fees

We charge service fees based on your subscription plan. Transaction-based fees may apply to successful orders. All fees are clearly disclosed before you complete a transaction.

6.2 Payment Processing

Payment terms for product purchases are agreed upon between Buyers and Suppliers. We may facilitate payment processing but do not guarantee payment from Buyers or delivery from Suppliers.

6.3 Taxes

You are responsible for determining and paying all applicable taxes. Our invoicing system complies with UAE FTA and KSA ZATCA requirements, but you remain responsible for tax compliance in your jurisdiction.

7. User Responsibilities

You agree to:

  • Provide accurate and truthful information
  • Maintain valid licenses and certifications
  • Comply with all applicable laws and regulations
  • Honor commitments made through the Platform
  • Respect intellectual property rights
  • Maintain professional conduct in all communications
  • Keep your account secure and confidential
  • Report any suspected violations of these terms

8. Prohibited Activities

You must not:

  • Use the Platform for any illegal purpose
  • Impersonate any person or entity
  • Submit false or misleading information
  • Interfere with the Platform's operation or security
  • Scrape or collect data without authorization
  • Post inappropriate or offensive content
  • Circumvent any access restrictions or limitations
  • Use the Platform to compete with our services
  • Sell counterfeit, expired, or illegal products

9. Intellectual Property

All content on the Platform, including text, graphics, logos, software, and design, is owned by HealthConnect GCC or our licensors and is protected by intellectual property laws.

By posting content on the Platform, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, and display that content in connection with providing our services.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HEALTHCONNECT GCC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES.

We do not guarantee uninterrupted or error-free service. We are not responsible for the conduct of users or the quality, safety, or legality of products listed on the Platform.

11. Indemnification

You agree to indemnify and hold harmless HealthConnect GCC and its affiliates from any claims, damages, losses, or expenses arising from your use of the Platform, violation of these terms, or infringement of any third-party rights.

12. Termination

We may suspend or terminate your account at any time for violation of these terms or for any other reason at our discretion. You may terminate your account at any time by contacting us.

Upon termination, your right to use the Platform ceases immediately. Provisions that by their nature should survive termination will survive, including ownership, warranty disclaimers, and limitations of liability.

13. Dispute Resolution

Any disputes arising from these terms shall first be attempted to be resolved through good-faith negotiations. If negotiations fail, disputes shall be resolved through arbitration in Dubai, UAE, in accordance with the arbitration rules of the Dubai International Arbitration Centre (DIAC).

14. Changes to Terms

We reserve the right to modify these terms at any time. We will notify you of material changes via email or through the Platform. Your continued use of the Platform after changes constitutes acceptance of the modified terms.

15. Governing Law

These terms shall be governed by and construed in accordance with the laws of the United Arab Emirates and the Emirate of Dubai, without regard to conflict of law principles.
